When clients engage us

Situations that typically drive this conversation

01

A transaction is contemplated or active

Acquisition processes, sale processes, and capital events all require dedicated transaction workstreams beyond what internal finance teams can support while running the business.

02

Diligence findings are surfacing that require explanation

Buy-side diligence has identified issues requiring analytical response, or sell-side preparation has surfaced findings that need to be addressed before they are discovered externally.

03

Integration of a prior acquisition has stalled

Post-close integration frequently slows as the deal team returns to other work. Outlook provides dedicated integration resource through completion.

04

A platform strategy requires multiple transactions

Sponsors and strategic acquirers executing roll-up or platform strategies require repeatable diligence, integration, and reporting infrastructure across multiple transactions.

05

Exit preparation is underway

Preparing a company for sale requires twelve-to-eighteen months of financial, operational, and organizational work to position for optimal outcomes.

Capabilities

What this service line delivers

01

Quality of earnings

Buy-side and sell-side quality of earnings analysis. Adjusted EBITDA development, working capital normalization, revenue quality assessment, customer and contract diligence, and the forward-looking analysis that distinguishes a validated earnings base from a historical number. Delivered in the formats expected by institutional buyers and lenders.

02

Financial due diligence

Full-scope financial diligence beyond the QoE: accounting policy assessment, balance sheet quality, off-balance-sheet commitments, and the operational financial review that supports purchase price negotiation and transaction structure.

03

Transaction modeling

Sources and uses, pro forma financials, synergy modeling, returns analysis, and tax-efficient structuring. Built for negotiation and for the decision-makers using the analysis, not solely for documentation.

04

Integration and post-close support

Day-one readiness, chart of accounts integration, ERP consolidation, first-year reporting architecture, and the accounting and operational work that preserves deal value after close. Extends through the first audit cycle when appropriate.

05

Exit preparation

Pre-transaction preparation including financial reporting enhancement, management presentation development, data room construction, and the twelve-to-eighteen month preparation cycle that positions companies for optimal exit outcomes.

The deal lifecycle

A milestone-driven engagement model

Transaction engagements structure around deal milestones rather than fixed timelines. Each workstream is scoped to the specific stage it supports, with clear handoffs between diligence, deal modeling, and post-close integration.

Frequently asked

Questions clients ask before engaging

Is Outlook registered as a broker-dealer?

No. Outlook does not hold broker-dealer registration and does not execute securities transactions, place capital, or act as a transaction agent. Our role is financial advisory, accounting, and operational. Clients work with registered intermediaries — investment banks, broker-dealers, or placement agents — for transaction execution when that capacity is required.

Our quality of earnings reports include an EBITDA bridge with detailed normalization adjustments, working capital analysis with normalized target and mechanism commentary, revenue quality assessment covering customer concentration and contract analysis, cost structure review distinguishing fixed from variable, and a forward-looking commentary on earnings sustainability. Reports are delivered in formats expected by institutional buyers, lenders, and underwriters.

Post-close integration is a dedicated workstream with a defined timeline — typically through the first audit cycle. It addresses opening balance sheet, chart of accounts alignment, systems integration, first-year reporting architecture, and the operational accounting work specific to an acquired entity. It is distinct from the ongoing accounting function that follows once integration is complete.

Platform and roll-up strategies with multiple concurrent transactions are a regular engagement type. Outlook establishes repeatable diligence templates, integration playbooks, and reporting frameworks at the program level, then executes against them transaction by transaction. This produces faster cycle times and more consistent outcomes than treating each transaction as independent.

For urgent engagements, the essential first step is a brief scoping call to understand deal structure, timeline, and specific workstream needs. Engagement letters and non-disclosure agreements can typically be executed within twenty-four to forty-eight hours. Substantive work begins immediately thereafter, with initial deliverables timed to deal milestones.
