When clients engage us

Situations that typically drive this conversation

01

Multi-state operations have outgrown existing tax compliance

Growth into new states through hiring, operations, or revenue has created tax filing obligations that exceed existing compliance capacity.

02

Entity structure has become complex enough to warrant specialized attention

Multiple entities, holding company structures, and intercompany transactions have introduced compliance considerations that general-practice tax preparers are not structured to handle.

03

Prior tax positions have attracted examination

Active or threatened state or federal examination has revealed that prior filings require defense and documentation that exceeds internal capacity.

04

A capital event requires tax optimization

Transactions, capital raises, and restructurings introduce tax considerations that warrant forward-looking analysis rather than historical compliance.

05

The organization has outgrown its current tax provider

The tax provider that was appropriate at an earlier stage has not scaled with the business, and current filings have begun to show quality issues.

Frequently asked

Questions clients ask before engaging

How is multi-state nexus determined under current law?

Nexus analysis considers physical presence (property, payroll, and inventory), economic nexus thresholds that now apply in most states following South Dakota v. Wayfair, employee location including remote workers, and factor-presence rules that vary by state. A formal nexus study is conducted when state footprint grows beyond basic filing requirements. The analysis is updated annually because state rules continue to evolve.

Business tax work integrates with the accounting records and frequently coordinates with an external accounting provider. Coordination protocols, data handoff formats, and year-end close integration are agreed during scoping. Where the client accounting function is also provided by Outlook, the integration is seamless; where it is elsewhere, we establish protocols that respect the other provider’s role.

Yes. Tax controversy and audit representation is provided through the Tax Resolution & Audit Defense service line, which can be engaged alongside compliance. Representation is provided by Enrolled Agents, CPAs with representation authority, or attorneys depending on the nature of the matter.

Material changes affecting client situations are communicated proactively as they occur, not saved for year-end. Annual year-end planning memoranda summarize significant legislative changes and their application to the specific client. Urgent changes — legislation with near-term compliance deadlines, court decisions affecting prior positions — are communicated immediately.

A tax provision is the calculation of income tax expense for financial statement purposes under ASC 740. It is required whenever GAAP financial statements are produced with income tax expense. The provision includes current tax expense, deferred tax analysis for temporary differences, valuation allowance analysis for deferred tax assets, and uncertain tax position documentation under ASC 740-10. Outlook’s compliance work includes the provision where GAAP statements are prepared.
