When clients engage us

Situations that typically drive this conversation

01

An IRS or state notice has been received

Correspondence from tax authorities requires timely and structured response. Response quality materially affects the trajectory of the matter.

02

A formal examination has been initiated

Audit initiation through Information Document Request, examination plan, or audit engagement letter requires structured response and defense.

03

Prior positions are under challenge

Examination or appeal activity has reached positions that require defense based on the underlying legal and factual analysis rather than further information production.

04

A negative examination outcome is contemplated for appeal

Examination reports proposing adjustments can be appealed administratively before proceeding to litigation. Appeals handling frequently produces materially better outcomes than acceptance.

05

Penalty assessments have been proposed

Proposed penalties — accuracy, failure to file, failure to pay, information return — can frequently be abated or reduced through structured response based on reasonable cause or substantial authority analysis.

Frequently asked

Questions clients ask before engaging

Is Outlook authorized to represent clients before the IRS?

Yes. Representation before the IRS is provided by practitioners with a current Preparer Tax Identification Number (PTIN) and appropriate representation authority under IRS Circular 230 — Enrolled Agents, CPAs with representation rights under state law, or attorneys with proper authorization. State representation authority varies by jurisdiction and is maintained as appropriate.

Tax litigation in U.S. Tax Court, U.S. District Court, or U.S. Court of Federal Claims requires attorney representation. Criminal tax matters must be handled by criminal defense attorneys from the outset. Administrative tax controversy — IRS examinations, appeals, and collections — can be handled by CPAs, Enrolled Agents, or attorneys, with the specific choice depending on the nature of the matter and attorney-client privilege considerations.

Standard tax controversy work does not carry attorney-client privilege protection. Where privilege is material — typically when a matter has potential criminal exposure or substantial litigation risk — engagement is structured through a Kovel arrangement in which the client’s attorney retains Outlook, extending attorney work product protection to the technical work. Privilege considerations are evaluated during scoping.

Yes. Voluntary disclosure programs — including the current IRS Voluntary Disclosure Practice, the Streamlined Filing Compliance Procedures for taxpayers with foreign account issues, and state voluntary disclosure programs — can produce materially better outcomes than waiting for detection. Each program has specific eligibility requirements and procedural steps. We evaluate eligibility, structure the disclosure, and manage the process through completion.

Notices and Information Document Requests (IDRs) should be addressed quickly and carefully. Routine notices can often be resolved with prompt, structured response. Examination IDRs require strategic evaluation — what to produce, how to organize it, and what positions to establish in the response. Engagement at the notice stage frequently prevents escalation; engagement after positions have been taken informally is more difficult to reverse.
